Company Secretaries and UK Companies...

Following the Companies Act 2006 and the provisions which came in to force on 6th April 2008, UK private companies are no longer required to have a company secretary.

This applies both new company formations in England, Scotland, Wales and Northern Ireland and the existing entities, where the secretary can now merely resign.

The results of this measure are that for the first time it is possible to register a UK company with just one person as a corporate officer. A single individual can act as both the sole director and shareholder.

So far, the experience at Complete Formations since 6th April 2008 is that most people purchasing our company registration services have chosen to take advantage of this new law and not appoint a secretary.

It was believed by some that this part the Companies Act 2006 would have little effect on those incorporating businesses as the secretarial work still has to be completed, whether or not a secretary was appointed.

It appears, at least judging by the first two weeks since the introduction of the provision, that they were wrong.
